Terms of Service

These Terms of Service (“Terms”) govern access to and use of the CloseMaster platform at closemaster.ai(the “Service”), operated by SPACE B CO., LTD. (บริษัท สเปซบี จำกัด), a company registered in Thailand (“CloseMaster”, “we”, “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if you use the Service for a business, that business.

1. The Service

CloseMaster is a software platform that lets businesses (“Merchants”) connect their Facebook Pages and LINE Official Accounts so that an AI assistant can chat with their customers (“End Customers”), recommend products, take orders, generate payment instructions (such as PromptPay QR codes), and assist with verifying bank-transfer slips. Merchant staff can monitor conversations, pause the AI, and respond manually.

2. Accounts and eligibility

  • You must be at least 18 years old and able to form a binding contract. If you accept these Terms for a business, you represent that you are authorized to bind it.
  • You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and workspace.
  • You must have the authority to connect any Facebook Page or LINE Official Account you connect to the Service.

3. Merchant responsibilities

  • Platform rules:your use of connected platforms through the Service must comply with the Meta Platform Terms, Facebook Community Standards, LINE’s terms, and each platform’s messaging policies (including rules on message types and timing windows).
  • Your customers’ data:as between you and us, you are the data controller of End Customer data processed through your workspace. You are responsible for having a lawful basis to process it, providing any required privacy notices, and honoring End Customers’ rights under applicable law, including Thailand’s PDPA. We process that data on your behalf as described in our Privacy Policy.
  • Your content: you are responsible for the accuracy and legality of your product catalog, prices, knowledge-base content, and any instructions you give the AI assistant.
  • Your sales: all sales are between you and your End Customers. You are responsible for fulfilling orders, handling returns and refunds, issuing tax documents, and complying with consumer-protection and e-commerce laws.

4. AI-generated content

The Service uses large language models to generate replies and summaries. AI output can be inaccurate, incomplete, or unexpected despite our safeguards. You are responsible for supervising the AI assistant’s conversations, configuring it appropriately, and correcting any errors in what it tells your customers. AI replies are sent in the name of your Page or LINE account and are treated as your communications. The Service does not provide legal, medical, financial, or other professional advice.

5. Payments between you and your customers

  • CloseMaster is not a payment processor, money transmitter, or escrow service. Payments flow directly from your End Customers to your own bank or PromptPay account. We never hold funds.
  • Slip verification is an automated assistance feature that relies on a third-party verification service. It is provided as-is and is not a guarantee that a payment was made, is irrevocable, or is free of fraud. You are responsible for finally confirming receipt of funds before fulfilling an order.
  • Disputes about orders, payments, refunds, or delivery are between you and your End Customer.

6. Fees

Use of paid features is subject to the fees and billing terms presented when you subscribe. Fees are exclusive of taxes unless stated otherwise. We may change pricing with reasonable advance notice; changes apply from your next billing period.

7. Your data; our license

You retain all rights to the content and data you and your End Customers submit to the Service (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service, as described in our Privacy Policy. We do not sell Customer Data and do not use it to train AI models.

8. Acceptable use

You must not use the Service to:

  • send spam, unsolicited bulk messages, or messages that violate platform messaging policies;
  • sell or promote illegal goods or services, or engage in fraud, deception, or phishing;
  • infringe intellectual-property or privacy rights;
  • upload malicious code or attempt to probe, disrupt, or gain unauthorized access to the Service or its data;
  • resell or provide the Service to third parties except as we expressly allow; or
  • reverse engineer the Service except to the extent permitted by law.

We may suspend or terminate access for violations of this section, with notice where practicable.

9. Third-party platforms and services

The Service depends on third-party platforms and APIs (including Meta/Facebook, LINE, AI model providers, and slip-verification services). We are not affiliated with these providers, and we are not responsible for their availability, changes to their APIs or policies, or actions they take against your accounts. Features may be modified or interrupted when third-party services change.

10. Intellectual property

The Service, including its software, design, and branding, is owned by SPACE B CO., LTD. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you give us feedback, we may use it without obligation to you.

11. Term and termination

  • You may stop using the Service and delete your workspace at any time.
  • We may suspend or terminate the Service for material breach of these Terms, unlawful use, or risk to the Service or other users.
  • Upon deletion of your workspace, your data is deleted as described in the Privacy Policy and Data Deletion page. Export any data you need before deletion.

12. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

13. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You will indemnify and hold us harmless from third-party claims arising from your Customer Data, your products and sales, your breach of these Terms, or your violation of law or platform policies.

15. Changes to the Service or these Terms

We may modify the Service and these Terms. For material changes to these Terms we will give notice through the Service or by email at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the Kingdom of Thailand, and disputes are subject to the exclusive jurisdiction of the courts of Thailand, without prejudice to mandatory consumer protections in your place of residence.

17. General

If any provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
